1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of this platform, including any associated speaking, listening, reading, and writing assessment tools (the "Service"), operated on behalf of the organization providing this Service ("we", "us", or "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility

The Service is intended for individuals who wish to take speaking, listening, reading, and writing language assessments. If you are under the age of majority in your jurisdiction, you may only use the Service with the involvement and consent of a parent or guardian.

3. Account Registration

To access most features of the Service, you must register for an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4. Description of Services

The Service provides AI-assisted language assessment tools, including but not limited to speaking exams, listening comprehension exercises, reading practice, and automated feedback reports. Assessment results, scores, and feedback are generated using artificial intelligence and are provided for educational and practice purposes only.

AI-generated feedback is not a substitute for evaluation by a qualified human examiner, and we do not guarantee that any assessment result reflects an official or certified language proficiency outcome.

5. Tokens, Subscriptions & Billing

Certain features of the Service require the use of tokens, which may be obtained through a paid subscription plan (billed monthly or yearly), a one-time purchase, or a complimentary allowance provided at our discretion.

• Subscription plans automatically renew at the then-current price and token allowance for the selected billing interval unless cancelled prior to the renewal date.
• Tokens are not a currency, have no cash value, are non-transferable, and cannot be redeemed for cash.
• Tokens are subject to expiry as described on the subscription or purchase page at the time of grant; unused tokens may expire and will not be refunded or carried over except as expressly stated at the time of purchase.
• Switching between plans or billing intervals is charged at the full price of the new plan; we do not prorate or credit the unused portion of your previous billing period.
• Tokens already in your account at the time of a plan switch are not forfeited and remain available for use under the new plan.
• On each renewal, your token balance resets to the allowance of your active subscription plan; any unused tokens from the prior period expire at that time unless otherwise stated at the time of purchase.
• All fees are exclusive of applicable taxes unless stated otherwise, and are billed in U.S. Dollars unless otherwise indicated at checkout.
• We reserve the right to change subscription pricing and token allowances at any time; changes will not retroactively affect an already-active billing period, but may apply upon renewal or to new subscribers.

Payments are processed by Stripe, Inc. By making a purchase, you also agree to Stripe's applicable terms of service. We do not store your full payment card details on our servers.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable local, national, or international law;
• Attempt to gain unauthorized access to any part of the Service, other user accounts, or underlying systems;
• Interfere with or disrupt the integrity or performance of the Service, including through automated scripts, bots, or excessive requests;
• Reverse engineer, decompile, or attempt to extract the source code of the Service except as permitted by law;
• Share, resell, or sublicense your account access or purchased tokens to any third party without our prior written consent;
• Upload or submit any content that is unlawful, defamatory, obscene, or infringes the rights of others.

7. Content and Intellectual Property

The Service, including its software, design, assessment materials, and AI-generated feedback templates, is owned by us or our licensors and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended educational purpose.

Audio recordings, written responses, and other content you submit through the Service ("User Content") remain yours. By submitting User Content, you grant us a limited license to process, store, and analyze that content solely for the purpose of providing the Service to you, including generating assessment feedback.

8. Privacy

Our collection and use of personal information in connection with the Service is described in our Privacy Policy. By using the Service, you consent to such collection and use in accordance with that policy.

9. Suspension and Termination

We may suspend or terminate your access to the Service, in whole or in part, at any time and for any reason, including if we believe you have violated these Terms, without prior notice where circumstances warrant. Upon termination, your right to use the Service will immediately cease, and any remaining token balance may be forfeited except where required otherwise by applicable law.

You may stop using the Service and cancel your subscription at any time through your account settings.

10. Disclaimers

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated assessments will be entirely accurate or free of bias.

11. Limitation of Liability

To the fullest extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

12. Changes to These Terms

We may revise these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by posting an updated version on this page with a revised "Last updated" date. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
